Members unanimously voted in favour of a new constitution at the A.G.M, held at the Leamington Tennis Court Club on 16th November 2020. After much thought, the committee of trustees had decided that the existing constitution had become outdated to the point of restricting the ability of the trustees to effectively carry out their duties. For the sake of legal certainty, it was decided to follow best practice by adopting in its entirety the Charities Commission’s model constitution for an unincorporated association. The only departure from this being to limit the chair’s term of office to any three consecutive years. It is hoped that this offers substantially more robust checks and balances, whilst at the same time allowing trustees increased flexibility in the day to day running of the trust. For the first time, it addresses relations between the trustees and the membership.
