Members will be invited to vote on a new constitution at this year’s A.G.M, to be held at the Leamington Tennis Court Club on 16th November, 2.00 p.m.. After much thought, the committee of trustees has decided that the existing constitution has become outdated to the point of restricting the ability of the trustees to effectively carry out their duties. For the sake of legal certainty, it has been decided to follow best practice by adopting in its entirety the Charities Commission’s model constitution for an unincorporated association. The only amendments to this model are highlighted in red, namely in clauses 12.2a, 21.7 (each specifying the numbers required for various meetings to be quorate and 18.3 (limiting the chair’s term of office to any three consecutive years). It is hoped that this offers substantially more robust checks and balances, whilst at the same time allowing trustees increased flexibility in the day to day running of the trust. For the first time, it addresses relations between the trustees and the membership. The committee commends it.
